Private equity-backed Curium has moved to consolidate its position in the booming radiopharmaceutical market, agreeing to acquire rival Lantheus Holdings in a deal valued at up to $8 billion. The transaction aims to unite two major forces in diagnostic imaging as cancer treatment innovation drives record industry dealmaking.

Lantheus shareholders are set to receive $102.50 per share in cash upon the deal's expected closing in the first half of 2027. An additional $12 per share may follow if specific sales milestones are reached by 2030. While the total consideration of $114.50 reflects a 14.9% premium over the previous closing price, the reception among market participants has been measured. B. Riley Securities analyst Yuan Zhi noted that while the upfront payment is fair, it fell short of the higher valuations many investors had anticipated after months of takeover speculation.

Regulatory hurdles may pose a significant challenge for the merger. Justin Walsh of Jones Trading warned that the integration of two dominant players in diagnostic radiopharmaceuticals invites rigorous oversight. The sector has seen intense activity recently, with major acquisitions by Bristol Myers Squibb, AstraZeneca, and Eli Lilly, signaling a broader strategic push to secure radioactive diagnostic agents like Pylarify, the prostate cancer imaging product that serves as a cornerstone of the Lantheus portfolio. Curium, supported by CapVest Partners, plans to fund the acquisition through a combination of debt and equity.
