The deal involved the issuance of 790.5 million new shares to the sellers, valued at SEK 1.86 each. This structure, which the company describes as a "Bitcoin-for-Bitcoin" exchange, utilized a July 31 reference price of approximately $62,900 per BTC to determine the valuation. While the move results in roughly 70% dilution for existing shareholders, the company reports that fully diluted sats per share increased by approximately 5%, rising from 288 to 303.
Integrating Moonshot and PDI
Beyond the primary Bitcoin haul, the acquisition integrates Moonshot AS and PDI AS into the H100 corporate structure. H100 Executive Chairman Sander Andersen noted that the integration brings operational technology and market strategies—specifically PDI’s focus on capital preservation and active Bitcoin management—that align with the group's broader goals. The company confirmed that the acquired entity carries no outstanding financial debt. Principal seller Geir Harald Hansen has agreed to a 12-month lockup period for his newly acquired shares, and the company intends to list these shares on the NGM Nordic SME exchange shortly.
