Hyperliquid Strategies has increased its equity financing facility with Chardan Capital Markets to $2.5 billion, according to a September 1 SEC filing. The move follows the firm nearing its original $1 billion limit, providing the company with additional flexibility to fund corporate operations and potential token acquisitions.

The Nasdaq-listed firm utilizes this arrangement to sell newly issued PURR shares to Chardan over time. While the facility provides a maximum aggregate capacity of $2.5 billion, it does not guarantee that the company will raise that amount or commit proceeds to specific projects. Management retains discretion over the timing and size of share sales, which are influenced by market conditions and the company's internal capital requirements. Each issuance increases the outstanding share count, potentially diluting existing investor holdings.

Following the expansion, a new exchange cap limits the issuance of shares priced below $12.02 once cumulative sales exceed $1 billion. Specifically, the company cannot sell more than 42,641,847 shares below this threshold without prior shareholder approval, representing approximately 19.99% of common shares outstanding. On the day the amendment was signed, PURR shares closed at $11.36, trading below the reference level. Previous disclosures indicate that proceeds from these sales support general corporate purposes, including the ongoing accumulation of HYPE tokens, though the company has made no firm commitment to a specific acquisition target or timeline.
