The company disclosed the agreement in a Friday filing with the Securities and Exchange Commission, detailing a package comprised of $6 million in cash and $3 million in Class A common stock. Rent the Runway will contribute $3.1 million to the cash portion, while its insurers will provide the remaining $2.9 million.
Investors initiated the litigation following the company’s 2021 initial public offering, which saw the fashion rental platform reach a $1.7 billion valuation. The suit alleged that the company, along with its officers, directors, and underwriters, violated the Securities Act by misrepresenting growth projections. While the settlement awaits final court approval, Rent the Runway denies all allegations of wrongdoing, negligence, or fault as part of the agreement.
