SEC Staff Defines Boundaries for Staking Receipts and Functional Networks

Staking receipts may qualify as digital tools rather than securities if they serve strictly as proof of ownership without granting additional financial benefits. The SEC’s Division of Corporation Finance released new guidance on September 25, clarifying how issuers can navigate federal securities law for staking, buybacks, and network development.

The guidance centers on the functional reality of a token rather than its branding. For a staking receipt to avoid classification as an investment contract, it must function solely as verification that an asset has been deposited. The issuer must be prohibited from using, lending, or pledging the underlying asset, and the receipt itself cannot entitle the holder to rewards or rights beyond those of the original asset. This framework applies to both staking tokens and wrapped assets, provided the issuer cannot leverage the collateral for its own creditors.

Regarding the evolution of crypto projects, the staff clarified that once a network reaches a state of functionality, ongoing development is not automatically deemed essential managerial work. Software upgrades or efforts to drive adoption do not necessarily satisfy the Howey test once a project is decentralized. However, if a central party remains capable of controlling the network's success, previous promises may still tether the asset to an investment contract. Similarly, token buybacks are scrutinized based on the network's maturity; they are generally viewed as neutral on functional networks but may be interpreted as profit-driven incentives in pre-functional stages. These staff views do not constitute new rules or formal Commission mandates, but they provide a clearer roadmap for how regulators evaluate the transition from investment contracts to functional digital commodities.
