The boards finalized the termination on October 6, formally abandoning a November 27 shareholder vote that had become impossible to navigate. Parataxis Ethereum executives cited the volatility surrounding Parataxis Korea’s listing status as a primary driver, noting that the ongoing court injunction against a KOSDAQ delisting left the merger timeline in a state of permanent flux. By ending the agreement, the company avoids the looming threat of massive shareholder appraisal claims, which carried a potential cash liability exceeding 20 billion KRW.

The Delisting Dispute

The impasse stems from an August 19 ruling by the Korea Exchange, which moved to delist Parataxis Korea from the KOSDAQ. The firm immediately filed for an injunction in the Seoul Southern District Court to suspend the delisting and resume trading. This legal stalemate rendered the original merger terms, which relied on the valuation metrics of two active, listed entities, increasingly untenable. While Parataxis Ethereum continues to maintain its treasury strategy—holding roughly 10,449 ETH—the failed acquisition leaves Parataxis Korea’s future tied entirely to the outcome of its pending court case.
