Under the terms of the agreement, the bidder Crown NL Bidco B.V. will offer 46.50 euros per share, roughly $52.23. This price represents a 40.3% premium over Qiagen’s closing value on July 8, the day before initial reports of potential takeover interest surfaced. The acquisition is backed by the EQT XI fund alongside the Abu Dhabi Investment Authority and the Canada Pension Plan Investment Board.
Chief Executive Officer Jonathan Pratt noted that transitioning to private ownership will allow the firm to deploy resources more aggressively toward high-growth opportunities without the constraints of public markets. Despite the change in ownership structure, the company intends to maintain its current brand identity and leadership team. The transaction is projected to close by mid-2027, provided it clears the necessary regulatory hurdles. In the interim, Qiagen reported preliminary third-quarter net sales of $548 million, exceeding analyst expectations of $535.6 million, while suspending its full-year financial guidance for the duration of the deal process.
