The deal structure includes a primary acquisition price of $41 million, supplemented by $4 million in deferred debt and $3 million tied to performance metrics. An additional $2 million is earmarked for the reimbursement of capital expenditures. Kyivstar confirmed that GigaCloud will function as an independent business unit, with the original founders remaining at the helm to ensure continuity.

Existing service levels, commercial contracts, and operational terms for GigaCloud clients will remain unchanged following the integration.
